So far I am greatly enjoying the Spring Contracts Conference, which I am currently attending at UNLV. One of the panels I caught this morning featured the intersection of contract law and business associations (two of the subjects that I teach). Daniel Kleinberger (William Mitchell) argued with the contractarian view of LLC and entertained the audience with a series of clever slides; Andrew Schwartz (Colorado) discussed material adverse change clauses and frustration of purpose; and Lydie Cabrera Pierre-Louis (St. Thomas) advocated for increased protection for shareholders in the context of mini-tender offers. So the ideas and papers have been interesting, and its been great to catch up with so many contracts scholars and friends, but I also suppose that part of why I am enjoying this conference is because during the last Contracts conference (which was sponsored by Pacific-McGeorge) I had to worry about whether anyone was stranded at the hotel, what to do about last minute cancellations, and whether the women’s bathroom had enough soap. This year I can relax and just enjoy the speakers. So all I would say is, thanks, UNLV and Keith Rowley, for hosting all of us this year. p.s. Keith, there is plenty of soap in the women’s bathroom.
